The short version
- You may use this website freely, but not copy our work or interfere with it.
- Nothing on this site is a quotation. A project starts only once a written proposal is agreed, and that proposal takes priority over these terms.
- Once you have paid in full, the custom work we made for you is yours.
- Disputes are handled first by talking, then by arbitration in Bengaluru, Karnataka, under Indian law.
This summary is a guide. The full text below is what applies.
About these terms
These terms apply to your use of this website and to services provided by Criza Studio ("Criza", "we", "us"). By using the site or engaging us, you agree to them. If you are acting for a business, you confirm you have authority to bind it.
If a written proposal or agreement names a different contracting entity, that entity is the party to it.
Using this website
You may read, link to and share this site. You must not:
- copy our written content, designs or code and present them as your own;
- use the site unlawfully, or send false, abusive or malicious content through its forms;
- attempt to gain unauthorised access, disrupt the site or overload it, including with automated scraping that affects its operation.
Information and free tools
Service descriptions, timelines, articles and our free tools are general information. They are not a quotation, a guarantee of a particular result, or professional, legal or financial advice. Prices and timelines only apply when they appear in a written proposal.
A brief or checklist from our tools is a planning aid, and using one does not create an engagement.
Concept work in the portfolio
Projects labelled as concepts or internal builds show our approach and are not presented as client work. We publish client names, logos and results only with written permission.
Our services and how an engagement starts
We provide software design and development, including websites, web and mobile applications, integrations, AI and automation, and related services.
An engagement starts only when both sides accept a written proposal or agreement. It sets out the scope, deliverables, milestones, price, payment schedule and support. Where it conflicts with these terms, the proposal or agreement takes priority for that project.
Work outside the agreed scope is not included. We will agree any change in writing, including its effect on price and timing, before doing the work.
Your responsibilities
Our timelines depend on you. As a client, you agree to:
- provide content, access, decisions and feedback on time, and name someone who can approve work;
- ensure you have the right to use anything you give us, and that it is lawful and accurate;
- be responsible for your own business's legal duties, including its privacy notices, regulatory compliance and the content you publish;
- keep your account credentials secure, and review deliverables within the time the proposal gives.
If a delay on your side affects the schedule, the dates will move accordingly.
Fees, taxes and payment
Fees and the payment schedule are set out in the proposal, generally by milestone. Unless it says otherwise, invoices are payable within 7 days of issue. Fees exclude GST and other applicable taxes, which are added as the law requires.
Fees do not include third-party costs, such as hosting, domains, licences and paid APIs, unless the proposal says so. If an invoice is overdue, we may pause work after giving you written notice, and the schedule will move accordingly.
This website does not take payments and does not store card details.
Refunds
Unless the proposal says otherwise:
- fees for milestones completed or accepted are not refundable;
- fees paid in advance for work not yet started are refunded, less any third-party costs already committed for you;
- where a milestone is in progress when an engagement ends, fees are adjusted to reflect the work done.
We pay refunds within 30 days, using the original payment method where possible. If what we delivered does not meet the agreed scope, we will first correct it. Nothing here limits any remedy the law gives you that cannot be excluded.
Intellectual property
Once we have received full payment, we assign to you the copyright and other rights in the custom code, designs and content we created for you under the proposal. The proposal, or a separate document signed for this purpose, serves as the written assignment.
We keep our pre-existing tools, libraries and general know-how, and grant you a perpetual, non-exclusive licence to use them as part of the delivered product. Open-source and third-party components stay under their own licences.
You keep ownership of everything you provide to us, and grant us a licence to use it only for the work. Until full payment, you may review work in progress, but rights in it remain with us. We may show your project in our portfolio only with your written permission.
Confidentiality
Each side will keep the other's confidential information private, and use it only for the engagement, except where it is already public or disclosure is required by law. We will sign a mutual NDA on request before you share anything sensitive.
Personal data
Our privacy policy explains how we handle personal data. Where we process personal data on your behalf in a project, you are responsible for having a lawful basis and giving any required notices, and we will handle it only on your instructions and as the agreement sets out.
Third-party services
Websites and software rely on outside services, such as hosting, payment gateways, app stores, email and AI providers. We do not control them and are not responsible for their availability, pricing, changes or policies. Your use of them is under their terms, in accounts held in your name wherever possible.
AI features can produce inaccurate results, and should have human review where accuracy matters. Links from this site to other websites are for convenience, and we do not endorse or control them.
Warranties and support
We will perform our services with reasonable skill and care. If a deliverable does not meet the agreed scope, tell us within the warranty period stated in the proposal and we will correct it at no charge. This does not cover problems caused by changes made by others, third-party services, or use outside the agreed scope.
Support after that period is available under a separate monthly plan.
The website and free tools are provided "as is". Except as stated in these terms or a signed agreement, and to the extent the law allows, we make no other warranties, including that the site or any software will be uninterrupted or error-free, or that a project will achieve a particular commercial result, search ranking or revenue.
Limits on liability
To the extent the law allows:
- neither side is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or data;
- our total liability arising from an engagement is limited to the fees you paid us for that engagement in the 12 months before the claim arose;
- our total liability arising from your use of the website and free tools, which are free of charge, is limited to ₹5,000.
These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, your obligation to pay fees, or any liability that cannot be limited by law, including your rights as a consumer where the Consumer Protection Act, 2019 applies.
Indemnity
If a third party brings a claim against us because of content or materials you supplied, or your unlawful use of the deliverables, you will compensate us for the reasonable losses and costs that result, provided we tell you promptly and do not settle without your agreement. We will do the same if a third party claims that custom work we created for you infringes its intellectual property, except where the claim arises from your materials or your changes.
Ending an engagement
Unless the proposal says otherwise, either side may end an engagement by giving 15 days' written notice. Either side may end it immediately if the other materially breaches these terms or the agreement and does not fix the breach within 15 days of written notice, or becomes insolvent.
When an engagement ends, you pay for work done up to that date, we refund any amount due under the refunds section, and we hand over the completed work you have paid for. Sections that by their nature continue, such as confidentiality, intellectual property and limits on liability, stay in effect.
We may restrict access to this website for anyone who misuses it.
Events outside anyone's control
Neither side is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, power or internet failures, provider outages, government action or civil disturbance. This does not excuse paying for work already done. If such an event lasts more than 30 days, either side may end the engagement by written notice.
Governing law and disputes
These terms and any engagement are governed by the laws of India.
If a dispute arises, please write to us first, and both sides will try in good faith to resolve it within 30 days. Any dispute not resolved in that time will be referred to and finally settled by arbitration before a sole arbitrator appointed by agreement of both sides, or otherwise as the law provides, under the Arbitration and Conciliation Act, 1996. The seat of arbitration is Bengaluru, Karnataka, and it will be conducted in English.
Subject to that, the courts at Bengaluru, Karnataka have exclusive jurisdiction, including for urgent interim relief. Nothing here removes your right to approach a consumer commission where the Consumer Protection Act, 2019 gives you that right.
General
If any part of these terms cannot be enforced, the rest stays in effect. Failing to enforce a right does not waive it. You may not transfer an engagement without our written consent. We are independent contractors, and nothing here creates a partnership or employment relationship. Notices must be in writing, and email is acceptable.
We may update these terms by publishing a new version here with a new date. The version in force when a proposal was accepted applies to that engagement unless both sides agree otherwise.
